WildBatch Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and WildBatch Inc., a Delaware corporation ("WildBatch," "we," "us," or "our"), governing your access to and use of wildbatch.co and any related sites, accounts, or services (collectively, the "Site"). By creating an account, placing an order, or otherwise using the Site, you agree to these Terms. If you don't agree, don't use the Site.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site or place an order. By using the Site, you represent that you meet this requirement.

2. Accounts

Creating an account requires accurate information, and you're responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@wildbatch.co of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or are inactive for extended periods.

3. Products, Orders & Pricing

  • All product descriptions, images, and pricing are subject to change without notice.
  • We reserve the right to limit quantities, refuse or cancel any order, and correct pricing or listing errors, including after an order has been placed. If we cancel a paid order, you'll receive a full refund.
  • Availability is not guaranteed until an order is confirmed.

4. Payment

Payment is due in full at the time of order. We use third-party payment processors (Shopify Payments and/or others) to process transactions; your payment information is subject to their terms and security practices, not stored directly by WildBatch. You represent that any payment method you use is your own and authorized for use.

5. Shipping

We currently ship to addresses within the United States only. Title and risk of loss for products pass to you upon delivery to the carrier. Shipping timelines are estimates, not guarantees — we're not liable for carrier delays.

6. Returns & Refunds

Returns and refunds are governed by our [Return & Refund Policy], which is incorporated into these Terms by reference.

7. Product Use & Health Disclaimer

WildBatch products are cosmetic cleansing products intended for external use on skin and hair. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition, and no statement on this Site or in our marketing should be construed as a medical claim.

If you have sensitive skin, known allergies, or a history of skin reactions, we recommend patch-testing any new product on a small area of skin before full use. Discontinue use and consult a physician if irritation occurs. WildBatch is not liable for allergic reactions or sensitivities not disclosed to us in advance and not reasonably foreseeable from standard ingredient use.

8. User-Generated Content (Reviews & Submissions)

If you submit a review (via Okendo or otherwise), photo, or other content to the Site, you grant WildBatch a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, and distribute that content in connection with marketing and operating our business, across any medium. You represent that you own or have rights to any content you submit, and that it doesn't violate any third party's rights.

We reserve the right to remove any user-generated content at our discretion, including reviews that are fraudulent, abusive, or violate these Terms.

(Note: this is separate from and does not override individual creator/partnership agreements with paid collaborators — those are governed by their own signed contracts and take precedence for those specific creators.)

9. Affiliate Program

Participation in the WildBatch affiliate program is subject to these Terms and any additional program-specific terms provided at enrollment. Affiliates may not make false, misleading, or medical claims about WildBatch products, may not bid on WildBatch trademark terms in paid search without written permission, and must comply with FTC disclosure requirements for any sponsored or affiliate content. WildBatch reserves the right to modify commission structures, suspend, or terminate any affiliate relationship at its discretion.

10. Intellectual Property

All content on the Site — including but not limited to the WildBatch name, logo, product designs, photography, copy, and site design — is owned by WildBatch or its licensors and protected by intellectual property law. You may not copy, reproduce, distribute, or create derivative works from any Site content without our written permission.

11. Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorized access to the Site, other accounts, or our systems
  • Interfere with the Site's operation (including scraping, bots, or automated data collection without permission)
  • Resell WildBatch products without a separate written wholesale/retail agreement
  • Misrepresent your identity or affiliation with WildBatch

12. Disclaimer of Warranties

The Site and products are provided "as is" and "as available," without warranties of any kind, express or implied, except as explicitly stated in our Return & Refund Policy. WildBatch disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, WildBatch's total liability arising out of or related to these Terms or your use of the Site or products is limited to the amount you paid for the product(s) giving rise to the claim. WildBatch is not liable for indirect, incidental, consequential, or punitive damages, even if advised of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold WildBatch, its officers, employees, and affiliates harmless from any claim or demand arising out of your violation of these Terms or misuse of the Site or products.

15. Dispute Resolution — Binding Arbitration & Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute arising out of or relating to these Terms, the Site, or WildBatch products shall be resolved through final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court where eligible. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and shall take place in Delaware, or may be conducted remotely/by written submission as the AAA rules permit.

You and WildBatch each waive the right to a jury trial and to participate in a class action, class arbitration, or representative action. Disputes must be brought in an individual capacity only.

(Flag for John: standard consumer arbitration clause. He should confirm the AAA rule set referenced, venue, and enforceability under Delaware/FTC consumer protection standards before this goes live — arbitration clauses have specific formatting/conspicuousness requirements in some jurisdictions to be enforceable.)

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where superseded by the arbitration provisions above.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. Material changes will be reflected by an updated "Last updated" date above.
